Terms of Service

1. About these Terms

These Terms are an agreement between you and Norexis Technologies Private Limited (CIN: U62099KL2026PTC106817) ("Norexis", "we", "us" or "our"). They govern your use of the Norexis websites and web applications at norexis.ai and its subdomains, our mobile applications for iOS and Android, our early-access list and related services (together, the "Service"). By using the Service, you accept these Terms. Our Privacy Policy explains how we process personal data.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract under Indian law. The Service is offered for use in India. During early access, we may limit availability to selected users or regions.

3. Early access and fees

The Service is in early access. Features may be incomplete, and may change, become unavailable or be withdrawn at any time. Use of the Service during early access is at your own risk.

The Service is currently free. We may introduce paid features with prior notice, and you will not be charged unless you agree.

4. Your account

You must provide accurate information, keep your login credentials secure and not share them. You are responsible for activity under your account. If you suspect unauthorised access, tell us promptly at support@norexis.ai.

5. Your content

You keep ownership of the documents and information you add to the Service ("Your Content"). You grant Norexis a non-exclusive, royalty-free licence to host, store, copy, process and display Your Content, and to share it as you direct, only to provide and secure the Service.

You confirm that you have the right to upload Your Content, including any personal data of other people it contains, and that you own or are authorised to manage the energy assets you add.

We store the documents you upload as you provide them and do not alter them. Information we extract from your documents (including by automated tools such as optical character recognition), verification results, insights and any assessments are separate outputs generated by Norexis, and do not change your original documents.

When you share your original uploaded documents, you choose the recipients. We do not select the recipients or alter the contents of those documents.

The Service is not a backup or legal custody service. Keep the original documents.

6. Prohibited content and conduct

You must not host, display, upload, modify, publish, transmit, store, update or share any information that:

  1. belongs to another person and to which you do not have any right;
  2. is obscene, pornographic, paedophilic, invasive of another's privacy including bodily privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, or an online game that causes user harm, or promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence;
  3. is harmful to a child;
  4. infringes any patent, trademark, copyright or other proprietary rights;
  5. deceives or misleads the addressee about the origin of the message, or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature;
  6. impersonates another person;
  7. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting another nation;
  8. contains a software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
  9. is an online game, or an advertisement, surrogate advertisement or promotion of an online game, that is not permitted under applicable law; or
  10. violates any law for the time being in force.

You must also not access another person's account or data without authorisation, interfere with or disrupt the Service, use automated tools to scrape or access it, copy or reverse engineer it, submit false information for verification, or make false or frivolous complaints.

7. Consequences of breach

If you breach these Terms, we may remove or disable access to content, and suspend or terminate your access to the Service. A breach may also expose you to penalties under applicable law. Where the law requires, we will report offences to the authorities and preserve information for investigation. We will also remove or disable access to content when required by a court order or a lawful direction of a government authority.

8. Reminders, insights and verification

Information extracted automatically from your documents may be incomplete or inaccurate. Check it before relying on it.

Reminders and notifications are an aid only. You remain responsible for paying bills, renewing insurance, servicing equipment and making warranty claims on time.

Insights, estimates and scores, such as savings, energy value or carbon figures, are indicative and based on the information available to us. They are not financial, technical, legal or energy advice.

Where the Service shows an asset or document as "verified", this means only that we checked it against information provided to us. It does not certify ownership, authenticity or condition, and third parties should make their own checks before relying on it.

9. Third parties

Unless we state otherwise, Norexis is not affiliated with or endorsed by electricity distribution companies, vehicle registration authorities, manufacturers, installers or insurers. Their names and marks belong to their owners. When you use our mobile applications, the terms of the relevant app store also apply.

10. Intellectual property

The Service, including its design, software, text and trademarks, belongs to Norexis. We grant you a limited, personal, non-exclusive, non-transferable licence to use the Service for managing your own energy assets.

11. Disclaimer and limitation of liability

To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind.

To the maximum extent permitted by law, Norexis is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, data or opportunity. Our total liability for all claims relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim and ₹1,000.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.

12. Indemnity

You will indemnify Norexis against claims, losses and costs arising from Your Content, your breach of these Terms, or your violation of any law or the rights of another person.

13. Suspension and termination

You may stop using the Service and delete your account at any time.

We may suspend or terminate your access if you breach these Terms, if the law requires it, or to protect other users or the Service. We may also discontinue the Service or end early access. Where reasonably practicable and lawful, we will give you notice.

After your account closes, we handle your personal data as described in our Privacy Policy. Sections 5, 7, 8, 11, 12, 16 and 17 continue to apply.

14. Grievance Officer

Anyone may contact our Grievance Officer with complaints about the Service, content on it or the processing of personal data. You do not need a Norexis account to complain. The Grievance Officer's name and contact details are in Section 9 of our Privacy Policy.

Please include your name, contact details and a description of your complaint and, if you have an account, the email address linked to it. For complaints about content, identify where it appears. We handle complaints within the timelines required by applicable law.

15. Changes to these Terms

We may update these Terms. We will publish the revised version with a new date and notify you of significant changes by email or in the Service. If you continue to use the Service after the changes take effect, you accept the revised Terms.

16. Governing law and disputes

These Terms are governed by the laws of India. Subject to mandatory statutory rights and remedies, including the right to approach a competent consumer commission or other statutory authority, courts of competent jurisdiction in Malappuram district, Kerala shall have exclusive jurisdiction over disputes relating to the Service.

17. General

These Terms and our Privacy Policy are the entire agreement between you and Norexis about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms. We may transfer ours, including in a merger, acquisition or restructuring. We are not liable for delays or failures caused by events beyond our reasonable control.
